Online AGM interpretation means delivering a shareholders' meeting, held fully online or in hybrid format, to foreign shareholders through a dedicated simultaneous interpreting channel. It works when interpreters map the meeting's script flow, plan every channel switch and rehearse the technology with the organisers. This guide covers the story, legal basis, key terms and FAQs.

From the Ballroom to the Screen, Then to Hybrid

18,000+ shareholders. Not one of them in the same room. Yet every one of them had to hear the same sentence, at the same moment, in their own language.

That was a fully online AGM for HDBank during the pandemic, with AKT Translation in the booth. Before COVID, shareholders' meetings in Vietnam were almost always in-person. Then everything moved online overnight, and those early sessions came with plenty of glitches. Today, HDBank and Vietjet run hybrid AGMs, and Vinamilk holds a hybrid meeting every year.

HDBank's online AGM

Hybrid is easier, not easy. The real work happens before the meeting: learning the platform with the client, rehearsing again and again, agreeing on every hand-off. When do we switch channels? When does the chair speak bilingually? Which channel do foreign shareholders tune into?

We answer those questions by mapping the meeting's script flow, from the opening to reports, Q&A and voting, and turning it into a channel plan for the client. Good interpreting, in my experience, starts with guaranteed technology, not just a good voice.

My thanks to the organisers for such close coordination at every rehearsal.

Are Virtual and Hybrid AGMs Valid in Vietnam? Where Interpreting Gets Hard

Yes. Under Clause 3, Article 144 of Vietnam's Law on Enterprises 2020, shareholders are deemed to attend and vote when they join via online conference, electronic voting or other electronic means, and Decree 155/2020 requires public companies to set out how in their internal governance rules. In AKT Translation's experience, three moments test interpreters most:

  • Live shareholder questions: online participants usually type their questions, which are then read aloud and must be interpreted instantly, with no preview.
  • Dense resolutions: dividends, loan-loss provisions, convertible bonds and profit targets arrive as long strings of figures.
  • Vote results: a single misread percentage in the ballot count can mislead the entire room.

If your AGM also has foreign shareholders joining online, AKT Translation can review the meeting script with you well in advance.

AGM Terminology: The Interpreter's Choices

Quorum – Điều kiện tiến hành họp: This is the Vietnamese legal term for the share of voting shares that must be present for the meeting to be valid. In the script, the figure is usually announced under "báo cáo kết quả kiểm tra tư cách cổ đông" (literally, a report on shareholder eligibility). Rendering it as "quorum" tells foreign shareholders at once that the meeting may proceed; a literal translation makes it sound like an ID check.

Supervisory Board – Ban kiểm soát: Vietnamese joint-stock companies choose between a model with a Supervisory Board and one with an Audit Committee under the Board of Directors. The two bodies differ in position and election, so "Audit Committee" must never be used for Ban kiểm soát, especially when the AGM elects its members.

Beyond the AGM: Boardroom Interpreting Without a Booth

AKT Translation also provides simultaneous interpreting with portable equipment for board meetings with foreign partners, where confidentiality rules out a booth. The interpreter sits beside the executives and speaks just loud enough to be heard on the receivers without disturbing the discussion.

Online AGM Interpretation FAQs

1. How do foreign shareholders hear the interpretation at an online AGM?

They select the English channel on the meeting platform (for example, Zoom's language interpretation channel) or a separate audio stream on the AGM portal. Shareholders in the hall listen through booth receivers and headsets. Organisers should include channel instructions in the meeting invitation.

2. How many interpreters does an AGM need?

A hybrid AGM with a booth needs two interpreters per language pair, taking turns every 20–30 minutes. A fully online AGM makes hand-overs harder, because the two interpreters may be working from different locations far apart, so coordination must be seamless. AKT Translation's team manages this after many years of working side by side.

2. What documents should the interpreters receive before the AGM?

The MC script, agenda, Board of Directors and management reports, financial statements, proposals, draft resolutions, voting rules and the list of candidates if there is an election.

2. How much does AGM interpretation cost?

Cost depends on the format (in-person, online or hybrid), duration, number of language pairs, and the equipment or platform required. Send your agenda and expected duration to AKT Translation for a tailored quote.
